Anthony Maglica founded Mag Instrument in 1955. In 1971, he met Claire Halasz. They lived together, holding themselves out as husband and wife. She began using the last name Maglica, although they never married. They worked together building the business, which grew rapidly, partly due to Claire’s ideas, such as a purse-sized flashlight in different colors. In 1992, the couple separated. Claire sued Anthony for breach of contract, breach of partnership agreement, fraud, breach of fiduciary duty, and quantum meruit. The jury found for Claire on the theories of breach of fiduciary duty and quantum meruit, awarding her eighty-four million dollars, which it found to be the reasonable value of the benefit Anthony obtained from Claire’s services. Both parties appealed to the California Court of Appeal.
