Spice+ Stands for Simplified Proforma For Incorporating Company Electronically PLUS
SPICE+ is An Integrated Web Form Offering 10 Services By 3 Central Government Ministries & Departments.
Ministry Of Corporate Affairs, Ministry Of Labour & Department Of Revenue (In The Ministry Of Finance) And One State Government (Maharashtra).
SPICE+ is introduced from 23th February ‘2020.
FEATURES OF FORM SPICE+
SPICe+ helps to incorporate a company with a single application divided in Two Part.
PART A : Name Reservation (New Companies Only)
PART B : Part B of SPICe+ offers following services viz.
Incorporation
DIN allotment
Mandatory issue of PAN
Mandatory issue of TAN
Mandatory issue of EPFO registration
Mandatory issue of ESIC registration
Mandatory issue of Profession Tax registration(Maharashtra)
Mandatory Opening of Bank Account for the Company and
Allotment of GSTIN (if so applied for)
Users may choose to submit Part-A for reserving a name first and thereafter submit Part B for incorporation & other services or file Part A and B together at one go.
User friendly Dashboard on the Front office for SPICe+ and other linked forms.
Approved name and related incorporation details as submitted in Part A, would be automatically Pre-filled in all linked forms also viz., AGILE-PRO, eMoA, eAoA, URC-1, INC-9 (as applicable).
Declaration by all Subscribers and first Directors in INC-9 shall be auto-generated in pdf format.
All Check form and Pre-scrutiny validations (except DSC validation) will happen on web- form itself.
Once the SPICe+ is filled completely with all relevant details, the same would then have to be converted into pdf format, with just a click of the mouse button, for affixing DSCs.
On-screen filing and real time data validation.
Incorporation applications (Part B) after Name Reservation ( Part A) can be submitted as a seamless process in continuation of Part A of SPICe+.
About AGILE- PRO :
This is Multi Registration Form to apply for One Window System
AGILE-PRO needs to be filed as linked e-Form with SPICe+ for:
*Registration with GST
*Registration with ESIC
*Registration with EPFO
*Professional tax registration number
*Bank account Opening
Procedures for filing SPICe+ Step wise :
1. If login id not available on MCA Portal - Create the same
2. Login to MCA Portal
3. For Name approval – There are two options
3 (i). If one is not sure of name availability and requires choices Apply for Name approval in
PART-A
3(ii). In case, the applicant is confident of the name availability, he/she can directly go to SPICe+ as it is an Omnibus One Window application. In case, the applicant has opted for name approval under 3(i) above, the applicant will continue with the process of incorporation from Part – B of SPICe+ from.
4. Once Part A is complete, applicant can click on :
Submit for Name Reservation “or
Proceed for Incorporation “or”
Cancel.
5. Mandatory Fill SPICe+ PART B (with AGILE-Pro, SPICe-AOA, SPICe-MOA, INC-9)
6. Upload all the mandatory and optional attachments in the web form
sequence of uploading linked forms to SPICe+ 1. SPICe+2. e MOA 3. e AOA 4. AGILE-PRO[mandatory in all the cases] 5. INC9

A Simple Declaration By The First Subscribers And By The Directors (It Does Not Require An Affidavit)
A Proof For The Address Of The Office (It Can Be Conveyance, Lease Deed Or Rent Agreement)
Utility Bills Copy (The Bill Should Be Within 2 Months)
A Copy Of The Certificate Of Incorporation Of The Foreign Body Corporate
The Resolution Passed By The Foreign Company
A Resolution Passed By The Promoter Company
The Interest Of The First Directors In Other Entities
Nominee’s Consent
Identity Proof And Residential Address Of The Subscribers And The Nominees
Identity Proof And Residential Address Of Applicant I, II And III
The Resolution Of The Unregistered Companies
Declaration In Form INC-14 And Form INC-15
MOST IMPORTANT POINT :
If applicant has opted the option to file PART A & PART B together at one go, applicant has to give only ONE proposed or approved name. The approved name is valid for a period of 20 days
Changes/modifications to SPICe+ (even after generating pdf and affixing DSCs), can also be done by editing the same web form application which has been saved, only till FIVE attempts, after that whole process to be restarted.
